By creating an account and using SongTakes, you agree to be legally bound by these Terms of Service, our Privacy Policy, and any other policies or guidelines we provide. If you do not agree with these terms, please do not use our platform.

Account and Eligibility

• You must be at least 18 years old to create an account on SongTakes.
• You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

 

Compliance with Terms

ALL USERS MUST COMPLY COMPLETELY WITH THESE TERMS OF SERVICE. SONGTAKES RESERVES THE RIGHT TO TERMINATE THE REGISTRATION OF ANY USER THAT VIOLATES ANY OF THESE TERMS OF SERVICE. IF YOU ARE AN INDIVIDUAL, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST 18 YEARS OF AGE AS OF THE EFFECTIVE DATE OF THESE TERMS OF SERVICE.

 

By submitting an audio, image, video or text component for inclusion for use through the website or Service, you agree to be legally bound by these Terms of Service. No conditions other than those set forth herein shall be binding on SongTakes unless specifically agreed to in writing by SongTakes. SongTakes will not be bound by conditions printed or appearing on order blanks or copy instructions submitted by or on behalf of the user. Users and their agents (if applicable) are jointly and severally responsible under these Terms of Service.

 

Constructive Criticism and Community Interaction

• NOT A MARKETPLACE: SongTakes is a platform for musicians to connect, receive feedback, and grow. It is not a place to sell services, promote products, or solicit business. Any attempt to spam, scam, or advertise in comments, reviews, messages, or any other form will result in immediate removal and possible account suspension without warning.
• Handling Feedback: By sharing your music on SongTakes, you acknowledge that you may receive constructive criticism that you may not always agree with. SongTakes fosters growth through honest feedback, and we encourage all users to engage with an open mind.
• Contribution to the Community: Users are expected to positively contribute to the community by providing concise, constructive feedback in reviews, comments, and messages. Feedback should aim to help fellow musicians improve their work rather than degrade or discourage.

 

Zero-Tolerance Spam & Abuse Policy

• No Spamming or Solicitation: Spamming in comments, messages, reviews, or any part of the platform is strictly prohibited.
• No Self-Promotion in Messages: Using direct messages to advertise services, send unsolicited promotions, or repeatedly request follows is not allowed.
• No Abusive Behavior: Harsh, hateful, or abusive language in any interaction (reviews, comments, or messages) is strictly forbidden.
• Report Violations: If you encounter spam or inappropriate behavior, use the report feature to notify our team.

Violating these policies may result in account suspension or permanent removal from SongTakes.

 

Fair Use Policy

• Subscribers have access to our AI Helpers and AI Spark features.
• Usage is limited to 200 calls per month. This limit is in place to ensure fair use for all subscribers.
• Exceeding the monthly limit may result in temporary suspension of access to these features until the next billing cycle.

 

Content Upload Limits

• Users are allowed to upload a maximum of 300 songs in total.
• The platform is intended for quality sharing and community interaction; excessive uploads may result in account review and potential action.

 

User Content and Licensing

• Ownership and Use: You retain full ownership of all content you upload to SongTakes, including songs, reviews, and comments. By uploading content, you grant SongTakes a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on our platform. However, please note:
• Availability: Your music is only available to other SongTakes users. SongTakes is not a streaming service, and your songs will not be accessible via interface outside of our community unless you opt-in to the private links which will make the song accessible outside the community.
• Public Listening: A 15-second section of your songs may be used for public listening on landing pages. This feature is intended to drive traffic to your external streaming services, such as Spotify.
• AI-Generated Content: If you use content provided by SongTakes' AI tools, you are fully responsible for that content. SongTakes is not liable for any AI-generated material, and you are free to use it as you wish. SongTakes does not claim any royalties or rights over AI-generated content you choose to utilize.

 

Account Suspension and Termination

SongTakes reserves the right to suspend or terminate accounts that violate these Terms of Service, particularly in cases of excessive use of AI features, abusive language, or other disruptive behavior. Users whose accounts are terminated will lose access to all their uploaded content and may be banned from re-registering on the platform.

 

Complying with Third Party Terms & Conditions and Privacy Policies

In using SongTakes' services in connection with third party services and APIs such as YouTube, Spotify, Deezer, Tidal, Amazon, Apple, and others, users will comply with all third party services' Terms of Use and Privacy Policies in connection with using SongTakes.

Users are also required to comply with any third party Terms and Privacy Policies for services used in connection with SongTakes that are not expressly included in this, SongTakes' Terms of Use.

 

Modifications to Terms

SongTakes reserves the right to modify these Terms of Service at any time. Changes will be communicated through the platform, and continued use of the service will constitute acceptance of the new terms.

 

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Alberta, Canada.

Disclaimer of Warranties

SongTakes strives to provide a reliable and secure platform, but we cannot guarantee that the platform will always be free of errors or interruptions. While we take precautions to ensure the platform is safe, we cannot guarantee that user-generated content/uploads will be free of harmful components. We recommend that you take appropriate measures to protect your devices when using the platform.

 

The platform and all its features are provided on an "as is" and "as available" basis. SongTakes makes no warranties, whether express or implied, regarding the performance, accuracy, or reliability of the platform, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

User-Uploaded Content: SongTakes does not guarantee the accuracy, quality, or integrity of any content uploaded by users. We do not pre-screen user content, and therefore cannot be responsible for any content that may be offensive, harmful, or inaccurate. Users are solely responsible for the content they upload and share on the platform.

 

Copyrighted Material: SongTakes is not responsible for any misuse or unauthorized use of copyrighted material by other users. If you upload content to the platform, you are responsible for ensuring that you have the necessary rights and permissions. If another user uses your copyrighted material without authorization, SongTakes is not liable for such actions.

 

Limitation of Liability

To the fullest extent permitted by law, SongTakes and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

• Your use or inability to use the platform;
• Unauthorized access to or alteration of your content or data;
• Statements or conduct of any third party on the platform;
• Any other matter relating to the platform.

In no event shall SongTakes' total liability to you for all claims arising out of or relating to these terms or your use of the platform exceed the amount paid by you, if any, to SongTakes in the twelve (12) months prior to the event giving rise to the liability.

 

Indemnification

You agree to indemnify, defend, and hold harmless SongTakes and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the platform, your violation of these Terms of Service, or your violation of any rights of another.
